Chapter I<\/strong><\/p>

General Provisions<\/strong><\/p>

\u00a7 1<\/strong><\/p>

1. The club is called “Binowo Park Golf Club” and is referred to as the Club further in the text.<\/p>

2. The Club operates based on the Act of January 18, 1996, on Physical Culture (Journal of Laws No. 25, item 113, as amended) and this statute.<\/p>

\u00a7 2<\/strong><\/p>

The Club has the right to use its badge\u2014a distinctive graphic symbol and seal following applicable regulations.<\/p>

\u00a7 3<\/strong><\/p>

The area of the Club’s operation is the West Pomeranian Voivodeship, and its seat is Stare Czarnowo. If the seat is changed, the Club’s name will be changed in the prescribed manner by changing the place name “Binowo” to the name of the new seat.<\/p>

\u00a7 4<\/strong><\/p>

The Club’s activities are primarily based on social activities. Performing functions in the authorities may be paid, which does not exclude the reimbursement of costs incurred by the authorities’ members in connection with the performance of specific tasks.<\/p>

\u00a7 5<\/strong><\/p>

The Club may join associations of clubs, hereinafter referred to as sports associations.<\/p>

Chapter II<\/strong><\/p>

Goals of the Club and ways to achieve them<\/strong><\/p>

\u00a7 6<\/strong><\/p>

The Club’s goal is:<\/p>

1. Organization and popularization of golf;<\/p>

2. Developing and protecting the principles of golf;<\/p>

3. Promoting and supporting competitive golf;<\/p>

4. Organizing sports and recreational events;<\/p>

5. Participation in sports competition in golf;<\/p>

6. Participation in national and international sports organizations related to golf;<\/p>

7. Training and improving players, coaches, and golf instructors.<\/p>

\u00a7 7<\/strong><\/p>

The method of achieving the statutory goals will be to undertake all available, lawful activities, in particular:<\/p>

1. Selection of Club members who meet all the criteria adopted for a high level of culture, ethics, and dignity;<\/p>

2. Conducting training, educational, and promotional activities in golf;<\/p>

3. Conducting informational activities;<\/p>

4. Organizing sports and recreational events and participating in them;<\/p>

5. Conducting business activities for statutory purposes and raising funds from other sources;<\/p>

6. Cooperation with other sports associations, domestic, foreign, and international sports associations, participation in sports qualifications, and membership in the Polish Golf Association.<\/p>

Chapter III<\/strong><\/p>

Club Members, their rights, and obligations<\/strong><\/p>

\u00a7 8<\/strong><\/p>

1. Membership is based on:<\/p>

a) Acquisition by natural and legal persons of membership in the Binowo Park Golf Club;<\/p>

b) Club membership is implemented on civil law principles and involves acquiring the right to use club services for golf and other forms of active recreation provided by the Club for members under the conditions specified in these principles. Club services also include participation in sports competitions as a competitor and on social terms.<\/p>

2. Club members are divided into:<\/p>

a) Ordinary members;<\/p>

b) Honorary members;<\/p>

c) Company members;<\/p>

d) Juniors;<\/p>

e) Passive members;<\/p>

f) Temporary members.<\/p>

3. Club members may be Polish citizens or foreigners residing in the territory of the Republic of Poland and those not residing in the territory of the Republic of Poland.<\/p>

4. Each person applying for membership submits a written application to the President of the Board. Admission to membership is based on a resolution of the Board.<\/p>

5. Before admitting a candidate to membership, the accepting body checks whether the candidate meets the criteria and requirements set out in the Club’s statute.<\/p>

6. Admission to the Club is considered done when the initial and annual club fees set by the Board each year are paid, and the accepting body approves the candidate’s membership.<\/p>

7. Admission to Club membership does not prevent membership in other national or foreign golf clubs.<\/p>

\u00a7 9<\/strong><\/p>

Rights and Obligations of Members:<\/p>

1. Club members have the right to:<\/p>

a) Active and passive voting rights in Club authorities;<\/p>

b) Participation in the General Meeting of Members with the right to vote;<\/p>

c) Participation in events organized by the Club under resolutions adopted by the Board;<\/p>

d) Submitting applications to the Club authorities;<\/p>

e) Protection of their rights by the Club.<\/p>

2. Club members are obliged to:<\/p>

a) Comply with the provisions of the statute and resolutions of the Club authorities;<\/p>

b) Promote golf;<\/p>

c) Refrain from any activity that could damage the good name of the Club or its goals;<\/p>

d) Actively participate in achieving the Club’s goals;<\/p>

e) Actively participate in the Club’s work, protect and respect the Club’s equipment and facilities, and combat wasteful practices;<\/p>

f) Participate\u2014according to their capabilities\u2014in sports events organized by the Club;<\/p>

g) Pay the initial and annual club fees in the amount set by the Board.<\/p>

3. The Board sets the amount of the initial and annual club fees:<\/p>

a) The initial club fee is paid by the candidate in the manner specified in a resolution of the Board;<\/p>

b) The annual club fee will be paid no later than January 31 of each year. The Club’s Board will indicate how and where to pay the fee;<\/p>

c) Non-payment of the annual club fee by March 30 results in membership termination.<\/p>

\u00a7 10<\/strong><\/p>

Ordinary Member<\/strong><\/p>

An ordinary member of the Club may be any person who has reached the age of 18 if:<\/p>

a) Submitted a written declaration to the Board to be admitted to Club membership;<\/p>

b) Paid the initial and annual club fees;<\/p>

c) Was admitted by resolution by the Board.<\/p>

\u00a7 11<\/strong><\/p>

Honorary Member<\/strong><\/p>

1. Honorary membership is awarded by the Board based on a resolution for individuals particularly deserving of the Club;<\/p>

2. An honorary member may also be a foreigner residing in the territory of the Republic of Poland and those not residing in the territory of the Republic of Poland;<\/p>

3. An honorary member has the rights of a Club member, except for the right to vote and be elected and the right to vote at the General Meeting of Members;<\/p>

4. Honorary membership is a lifetime personal right and is not inheritable;<\/p>

5. An honorary member is obliged to comply with the rules set out in \u00a7 9 point 2 of this statute;<\/p>

6. An honorary member is exempt from paying the initial and annual club fees.<\/p>

\u00a7 12<\/strong><\/p>

Supporting Member<\/strong><\/p>

1. A company member becomes a legal entity that meets the following conditions:<\/p>

a) Submits a written declaration to the Board to be admitted to Club membership;<\/p>

b) Pays the initial and annual club fees;<\/p>

c) Is admitted by resolution by the Board.<\/p>

2. A company member, for the duration of their membership in the Club, appoints their representative with the right to participate in the General Meeting of Members and to speak, but without voting rights (advisory vote). A company member does not have active and passive voting rights.<\/p>

3. The obligations of a company member are equivalent to the obligations of an ordinary member regulated in \u00a7 9 point 2.<\/p>

\u00a7 13<\/strong><\/p>

Junior Member<\/strong><\/p>

1. A junior member is a person under 18.<\/p>

2. For a junior member up to the age of 18, the initial and annual fees are paid by a person with the rights and obligations of a guardian. The detailed rules for using the member’s rights will be determined by the Club’s Board by resolutions adopted for each season separately.<\/p>

2. The next annual club fee will be paid no later than December 30 of each year.<\/p>

4. A junior member, during their membership in the Club, has the right to:<\/p>

a) Use the title “Junior Club Member”<\/p>

b) Enjoy all the rights of a member without voting rights at the General Meeting of Members and without active and passive voting rights.<\/p>

\u00a7 14<\/strong><\/p>

Passive Member<\/strong><\/p>

1. A passive member is a person who cannot use the Club’s services in a given year.<\/p>

2. A passive member can become one by submitting a relevant application to the Club’s Board by December 31.<\/p>

3. A passive member is entitled only to passive voting rights and is exempt from performing the duties listed in \u00a7 9 point 2.<\/p>

\u00a7 15<\/strong><\/p>

Temporary Member<\/strong><\/p>

1. A temporary member is a person who:<\/p>

a) Submits a written declaration to be admitted to temporary Club membership;<\/p>

b) Pays the initial and annual club fees;<\/p>

c) Is admitted by resolution by the Board;<\/p>

d) Membership in the Club will only last for one year.<\/p>

2. A temporary member has all the rights without voting rights and without active and passive voting rights.<\/p>

\u00a7 16<\/strong><\/p>

1. Club membership ceases in the event of:<\/p>

a) Voluntary resignation submitted to the Board in writing;<\/p>

b) Expulsion from the Club by a final judgment of the Disciplinary Court;<\/p>

c) Failure to pay the club fee by the end of March each year;<\/p>

d) Loss of legal personality by a legal entity;<\/p>

e) Total loss of legal capacity;<\/p>

f) Dissolution or liquidation of the Club;<\/p>

g) Death of a member.<\/p>

2. Each member may resign from the Club without giving a reason at the end of each calendar year. The resignation should be submitted by October 31 of the current year for the following year. The date of submission of the resignation is determined by the postmark date.<\/p>

3. After resigning or expulsion from the Club, they lose all rights related to membership and cannot transfer them to others. They are obliged to pay all applicable fees at that time. Fees already paid to the Club are non-refundable after membership ceases.<\/p>

4. An appeal against the Club Board’s decision declaring Club membership cessation may be submitted to the General Meeting of Members. The appeal should be submitted in writing within 30 days from the date of delivery of the Club Board’s decision and through the Club. In this case, the General Meeting of Members makes the final decision.<\/p>

5. The decision of the Club Board to expel a member is subject to appeal to the General Meeting of Members.<\/p>

Chapter IV<\/strong><\/p>

Club Authorities<\/strong><\/p>

\u00a7 17<\/strong><\/p>

1. Specific rules for the use of member rights will be established by the Club Board through resolutions adopted for each season separately.<\/p>

2. The authorities of the Club are:<\/p>

a) General Meeting of Members;<\/p>

b) Management Board;<\/p>

c) Audit Committee;<\/p>

d) Court of Peers.<\/p>

3. The term of office of the Board, Audit Committee and Peer Court is 4 years, and their election takes place in an open or secret ballot. The method of voting is decided by the General Meeting of Members by a simple majority of votes.<\/p>

\u00a7 18<\/strong><\/p>

General Meeting of Members<\/strong><\/p>

1. The General Meeting of Members is the highest Club authority.<\/p>

  1. The General Meeting of Members is convened by the Management Board at least once a year, by June 30 of each year. Additionally, it is called as necessary: at the initiative of the Management Board, at the request of the Audit Committee, or at the request of 1\/3 of the total number of Club members, within one month of submitting the request.\u00a0<\/li><\/ol>

    3. The competencies of the General Meeting of Members include:<\/p>

    a) Ustalenie programu dzia\u0142ania Klubu;<\/p>

    b) Wyb\u00f3r i odwo\u0142anie Zarz\u0105du, Komisji Rewizyjnej, Sadu Kole\u017ce\u0144skiego oraz poszczeg\u00f3lnych cz\u0142onk\u00f3w tych w\u0142adz;<\/p>

    c) Rozpatrywanie i zatwierdzanie sprawozda\u0144 Zarz\u0105du i Komisji Rewizyjnej;<\/p>

    d) Udzielanie absolutorium Zarz\u0105dowi Klubu;<\/p>

    e) Podejmowanie uchwa\u0142 w sprawach wniesionych przez Zarz\u0105d, Komisj\u0119 Rewizyjn\u0105 i cz\u0142onk\u00f3w Klubu;<\/p>

    f) Rozpoznawanie odwo\u0142a\u0144 od decyzji Sadu Kole\u017ce\u0144skiego.<\/p>

    4. W Walnym Zebraniu Cz\u0142onk\u00f3w bior\u0105 udzia\u0142 cz\u0142onkowie stosownie do ich uprawnie\u0144 wynikaj\u0105cych z przepis\u00f3w o prawach i obowi\u0105zkach w poszczeg\u00f3lnych typach cz\u0142onk\u00f3w. Na zaproszenie Zarz\u0105du mog\u0105 bra\u0107 udzia\u0142 w Walnym Zebraniu Cz\u0142onk\u00f3w inne osoby z g\u0142osem doradczym.<\/p>

    5. Walne Zebranie Cz\u0142onk\u00f3w jest prawomocne o ile jego cz\u0142onkowie \u2013 uprawnieni do g\u0142osowania \u2013 zostali zawiadomieni listami poleconymi, telefaxami lub poczt\u0105 elektroniczn\u0105, wys\u0142an\u0105 na 14 dni przed terminem, ze wskazaniem porz\u0105dku obrad.<\/p>

    6. Uchwa\u0142y Walnego Zebrania Cz\u0142onk\u00f3w zapadaj\u0105 zwyk\u0142a wi\u0119kszo\u015bci\u0105 oddanych g\u0142os\u00f3w przy obecno\u015bci przynajmniej 50 % + 1 cz\u0142onk\u00f3w Klubu uprawnionych do g\u0142osowania z wyj\u0105tkiem spraw dotycz\u0105cy zmian statutu, wyboru i odwo\u0142ania Zarz\u0105du, Komisji Rewizyjne, Sadu Kole\u017ce\u0144skiego oraz poszczeg\u00f3lnych cz\u0142onk\u00f3w tych w\u0142adz, a tak\u017ce rozwi\u0105zania Klubu- w tych przypadkach wymagana jest wi\u0119kszo\u015b\u0107 \u00be g\u0142os\u00f3w.<\/p>

    1. W przypadku braku wymaganego quorum obecno\u015bci, o kt\u00f3rym mowa w pkt. 6, Walne Zebranie Cz\u0142onk\u00f3w zwo\u0142ywane jest w drugim terminie, tj. 30 min. po jego pierwszym terminie. Walne Zebranie Cz\u0142onk\u00f3w zwo\u0142ywane w drugim terminie podejmuje uchwa\u0142y bez wzgl\u0119du na liczb\u0119 obecnych uprawnionych do g\u0142osowania cz\u0142onk\u00f3w Klubu<\/li><\/ol>

      8. Cz\u0142onkowie zwyczajni mog\u0105 bra\u0107 udzia\u0142 w Walnym Zebraniu Cz\u0142onk\u00f3w poprzez ustanowionych przez siebie pe\u0142nomocnik\u00f3w. Pe\u0142nomocnictwo powinno by\u0107 udzielone w formie pisemnej pod rygorem niewa\u017cno\u015bci. Pe\u0142nomocnikiem nie mo\u017ce by\u0107 inny cz\u0142onek Klubu.<\/p>

      9. Spos\u00f3b, zasady prowadzenia i dokumentowania posiedze\u0144 Walnego Zebrania Cz\u0142onk\u00f3w okre\u015bla jego regulamin.<\/p>

      \u00a7 19<\/strong><\/p>

      Zarz\u0105d<\/strong><\/p>

      1. Zarz\u0105d sk\u0142ada si\u0119 z trzech do o\u015bmiu cz\u0142onk\u00f3w powo\u0142ywanych i odwo\u0142ywanych przez Walne Zebranie Cz\u0142onk\u00f3w.<\/p>

      2. Zarz\u0105d wybiera ze swego grona Prezesa Zarz\u0105du oraz ustala funkcje pozosta\u0142ych Cz\u0142onk\u00f3w Zarz\u0105du.<\/p>

      3. Do reprezentacji Klubu, do sk\u0142adania w jego imieniu o\u015bwiadcze\u0144, podpisywania i podejmowania zobowi\u0105za\u0144 maj\u0105tkowych wystarczy dzia\u0142anie jednoosobowe Prezesa Zarz\u0105du lub wsp\u00f3\u0142dzia\u0142anie dw\u00f3ch innych Cz\u0142onk\u00f3w Zarz\u0105du.<\/p>

      4. Do kompetencji Zarz\u0105du Klubu nale\u017cy:<\/p>

      a) Bie\u017c\u0105ce kierowanie pracami Klubu;<\/p>

      b) Realizacja uchwa\u0142\u0105 Walnego Zebrania Cz\u0142onk\u00f3w oraz wniosk\u00f3w i zalece\u0144 Komisji Rewizyjnej;<\/p>

      c) Opracowywanie program\u00f3w dzia\u0142alno\u015bci Klubu;<\/p>

      d) Ustalenie okre\u015blonych plan\u00f3w dzia\u0142alno\u015bci oraz preliminarzy bud\u017cetowych;<\/p>

      e) Zarz\u0105dzenie maj\u0105tkiem oraz funduszami Klubu;<\/p>

      f) Podejmowanie decyzji w sprawie przyst\u0105pienia Klubu do zwi\u0105zk\u00f3w stowarzysze\u0144 kultury fizycznej;<\/p>

      g) Podejmowanie decyzji w sprawach przyj\u0119cia cz\u0142onka oraz ustania cz\u0142onkostwa Klubu;<\/p>

      h) Nadawanie godno\u015bci cz\u0142onka honorowego;<\/p>

      i) Wyr\u00f3\u017cnianie cz\u0142onk\u00f3w Klubu;<\/p>

      j) Powo\u0142ywanie komisji problemowych oraz ustalanie dla nich zasad dzia\u0142ania;<\/p>

      k) Zatwierdzenie regulamin\u00f3w dotycz\u0105cych dzia\u0142alno\u015bci Klubu;<\/p>

      l) Ocena dzia\u0142alno\u015bci cz\u0142onk\u00f3w Klubu.<\/p>

      5. Uchwa\u0142y Zarz\u0105du zapadaj\u0105 zwyk\u0142\u0105 wi\u0119kszo\u015bci\u0105 g\u0142os\u00f3w, przy obecno\u015bci przynajmniej 50 % cz\u0142onk\u00f3w Zarz\u0105du. Przy r\u00f3wno\u015bci g\u0142os\u00f3w decyduje g\u0142os Prezesa Zarz\u0105du lub cz\u0142onka Zarz\u0105du w przypadku gdy przewodniczy on posiedzeniu Zarz\u0105du.<\/p>

      6. W przypadku zmniejszenia si\u0119 liczby Cz\u0142onk\u00f3w Zarz\u0105du poni\u017cej trzech os\u00f3b, Walne Zgromadzenie przeprowadza wybory uzupe\u0142niaj\u0105ce.<\/p>

      7. Zarz\u0105d sporz\u0105dza projekt regulaminu swojego dzia\u0142ania, kt\u00f3ry przedstawia do uchwalenia Walnemu Zebraniu Cz\u0142onk\u00f3w.<\/p>

      \u00a7 20<\/strong><\/p>

      Audit Committee<\/strong><\/p>

      1. The Audit Committee is the control authority of the Club, competent to control all Club activities.<\/p>

      2. W sk\u0142ad Komisji Rewizyjnej nie mog\u0105 wchodzi\u0107 cz\u0142onkowie Zarz\u0105du.<\/p>

      3. Komisja Rewizyjna wybiera ze swojego grona Przewodnicz\u0105cego, Wiceprzewodnicz\u0105cego oraz Sekretarza.<\/p>

      4. W przypadku zmniejszenia si\u0119 liczby cz\u0142onk\u00f3w Komisji Rewizyjnej poni\u017cej trzech, Walne Zebranie Cz\u0142onk\u00f3w przeprowadza wybory uzupe\u0142niaj\u0105ce.<\/p>

      5. Uchwa\u0142y Komisji Rewizyjnej zapadaj\u0105 zwyk\u0142\u0105 wi\u0119kszo\u015bci\u0105 g\u0142os\u00f3w, przy obecno\u015bci 50 % cz\u0142onk\u00f3w Komisji. Uchwa\u0142y dotycz\u0105ce przyj\u0119cia sprawozdania Komisji oraz w sprawie wniosk\u00f3w o udzielenie Zarz\u0105dowi absolutorium wymagaj\u0105 jednomy\u015blno\u015bci przy 100 % obecno\u015bci cz\u0142onk\u00f3w Komisji Rewizyjnej.<\/p>

      6. Cz\u0142onkowie Komisji Rewizyjnej mog\u0105 bra\u0107 udzia\u0142 w posiedzeniach Zarz\u0105du z g\u0142osem doradczym.<\/p>

      7. Do kompetencji Komisji Rewizyjnej nale\u017cy:<\/p>

      a) Przeprowadzenie co najmniej raz do roku kontroli ca\u0142okszta\u0142tu dzia\u0142alno\u015bci Klubu;<\/p>

      b) Wyst\u0119powanie do Zarz\u0105du z wnioskami i zaleceniami pokontrolnymi;<\/p>

      c) Sk\u0142adanie sprawozda\u0144 Walnemu Zebraniu Cz\u0142onk\u00f3w oraz zg\u0142aszanie wniosk\u00f3w w sprawie absolutorium dla Zarz\u0105du.<\/p>

      \u00a7 21<\/strong><\/p>

      Disciplinary Court<\/strong><\/p>

      1. The Disciplinary Court is the Club’s judicial authority, competent to hear disciplinary matters of Club members.<\/p>

      2. S\u0105d Kole\u017ce\u0144ski sk\u0142ada si\u0119 z pi\u0119ciu arbitr\u00f3w wybranych przez Walne Zgromadzenie.<\/p>

      3. S\u0105d Kole\u017ce\u0144ski orzeka w sk\u0142adach trzy osobowych za naruszenie praw b\u0105d\u017a nie wykonanie obowi\u0105zk\u00f3w ci\u0105\u017c\u0105cych na cz\u0142onkach Klubu. Sad Kole\u017ce\u0144ski mo\u017ce ukara\u0107 cz\u0142onka Klubu upomnieniem ustnym i pisemnym, na\u0142o\u017cy\u0107 kar\u0119 pieni\u0119\u017cn\u0105 do r\u00f3wnowarto\u015bci 1000 USD, zwiesi\u0107 w prawach cz\u0142onka od 3 miesi\u0119cy do 2 lat, wykluczy\u0107 z Klubu. Orzeczenia S\u0105du Kole\u017ce\u0144skiego zapadaj\u0105 zwyk\u0142\u0105 wi\u0119kszo\u015bci\u0105 g\u0142os\u00f3w.<\/p>

      4. W przypadku orzeczenia kary zawieszenia w prawach cz\u0142onka ukarany t\u0105 kar\u0105 nie dysponuje \u017cadnymi prawami i nie wykonuje wobec Klubu \u017cadnych praw.<\/p>

      5. Spos\u00f3b prowadzenia post\u0119powania przed Sadem Kole\u017ce\u0144skim oraz wykonanie orzecze\u0144 tego S\u0105du ustali regulamin opracowany przez Zarz\u0105d i uchwalony przez Walne Zebranie Cz\u0142onk\u00f3w.<\/p>

      6. Od decyzji S\u0105du Kole\u017ce\u0144skiego przys\u0142uguje odwo\u0142anie do Walnego Zebrania Cz\u0142onk\u00f3w, kt\u00f3re strona w post\u0119powaniu wnosi na pi\u015bmie nie p\u00f3\u017aniej ni\u017c w 30 dni od rozstrzygni\u0119cia.<\/p>

      7. Koszt rozprawy ponosi zaliczkowo Klub a ostatecznie ponosi strona przegrywaj\u0105ca, chyba \u017ce S\u0105d Kole\u017ce\u0144ski podejmie inn\u0105 decyzj\u0119 o ich roz\u0142o\u017ceniu.<\/p>

      8. W przypadku zmniejszenia si\u0119 liczby arbitr\u00f3w S\u0105du Kole\u017ce\u0144skiego poni\u017cej pi\u0119ciu Walne Zebranie Cz\u0142onk\u00f3w przeprowadza wybory uzupe\u0142niaj\u0105ce.<\/p>

      Maj\u0105tek Klubu<\/strong><\/p>

      \u00a7 23<\/strong><\/p>

      1. Maj\u0105tek Klubu stanowi\u0105 nieruchomo\u015bci, ruchomo\u015bci i fundusze pomniejszone o wierzytelno\u015bci.<\/p>

      2. Maj\u0105tek Klubu powstaje i sk\u0142ada si\u0119 z:<\/p>

      a) Op\u0142at klubowych pocz\u0105tkowych i rocznych;<\/p>

      b) Dotacji, darowizn, zapis\u00f3w i subwencji;<\/p>

      c) Dochod\u00f3w z maj\u0105tku Klubu;<\/p>

      d) Wp\u0142yw\u00f3w z dzia\u0142alno\u015bci gospodarczej.<\/p>

      Zmiana Statutu i rozwi\u0105zanie Klubu<\/strong><\/p>

      \u00a7 24<\/strong><\/p>

      1. Zmiana Statutu lub rozwi\u0105zanie Klubu mo\u017ce nast\u0105pi\u0107 na podstawie uchwa\u0142 Walnego Zebrania Cz\u0142onk\u00f3w zwo\u0142anego przynajmniej na 14 dni z podaniem porz\u0105dku obrad, powzi\u0119tej wi\u0119kszo\u015bci\u0105 \u00be oddanych g\u0142os\u00f3w przy obecno\u015bci co najmniej 50 % +1, liczby cz\u0142onk\u00f3w uprawnionych do g\u0142osowania.<\/p>

      2. W przypadku braku wymaganego quorum obecno\u015bci, o kt\u00f3rym mowa w ust. 1 Walne Zebranie Cz\u0142onk\u00f3w zwo\u0142ywane jest w drugim terminie, tj. 30 minut po jego pierwszym terminie. Walne Zebranie Cz\u0142onk\u00f3w zwo\u0142ywane w drugim terminie podejmuje uchwa\u0142y bez wzgl\u0119du na liczb\u0119 obecnych, uprawnionych do g\u0142osowania cz\u0142onk\u00f3w.<\/p>
